Introduction

Welcome to BadgeMix! These Terms of Service ("Terms") govern your access to and use of BadgeMix's website, services, and applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully before using BadgeMix. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using BadgeMix, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old to use BadgeMix. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws
• All information you provide is accurate and truthful

3. Account Registration

3.1 Account Creation

To use certain features of BadgeMix, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access

3.2 Account Security

You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

3.3 One Account Per User

Each user may only maintain one account. Creating multiple accounts to circumvent restrictions or access additional free trials is prohibited.

4. Service Description

BadgeMix provides a platform for creating, customizing, and displaying website badges. The Service includes:

• Badge creation and customization tools
• Badge hosting and delivery
• Account management dashboard
• Customer support

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

5. Subscription Plans and Billing

5.1 Plan Types

BadgeMix offers the following subscription plans:

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are in U.S. Dollars (USD)
• Payment is processed through Stripe
• You authorize us to charge your payment method for all fees
• Fees are non-refundable except as required by law

5.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your plan.

5.4 Price Changes

We may change our prices at any time. Price changes will take effect at the start of your next billing cycle after we notify you. Continued use of the Service after a price change constitutes acceptance of the new price.

5.5 Failed Payments

If payment fails, we will attempt to collect payment again. If payment remains unsuccessful after multiple attempts, we may suspend or terminate your account and downgrade you to the Free plan.

6. Cancellation and Refunds

6.1 Cancellation

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of your current billing period
• You will retain access to paid features until the end of the billing period
• After cancellation, you will be downgraded to the Free plan

6.2 Refund Policy

All subscription fees are non-refundable except as required by applicable law. When you purchase a subscription, you are agreeing to pay for the full subscription period you selected (monthly or annual).

If you cancel your subscription, you will retain access to paid features until the end of your current billing period, but no refund will be issued for the remaining time.

7. Acceptable Use Policy

You agree not to use BadgeMix to:

• Violate any laws or regulations
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Engage in spamming or phishing
• Harass, abuse, or harm others
• Impersonate any person or entity
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to the Service
• Use the Service for illegal activities
• Display badges on websites containing illegal, harmful, or objectionable content
• Reverse engineer or attempt to extract source code
• Resell or redistribute the Service without authorization

8. Badge Usage Rules

8.1 Domain Restrictions

• Each badge is licensed for use on ONE website domain only
• Badges will not function on domains other than the one you specify
• Attempting to circumvent domain restrictions is prohibited
• To use badges on multiple domains, create separate badges for each domain

8.2 Badge Limits

• Free Plan: Maximum 2 badges
• Pro Plan: Maximum 10 badges
• Enterprise Plan: Unlimited badges

8.3 Prohibited Content

You may not display BadgeMix badges on websites that contain:

• Illegal content or activities
• Pornography or explicit sexual content
• Hate speech, discrimination, or harassment
• Malware, viruses, or harmful software
• Fraudulent or deceptive content
• Content that infringes intellectual property rights

9. Intellectual Property Rights

9.1 BadgeMix Ownership

The Service, including all software, designs, text, graphics, and other content, is owned by BadgeMix and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

9.2 Your Content

You retain all rights to the content you create using BadgeMix (badge designs, text, logos). By using the Service, you grant us a limited license to host, store, and display your content solely to provide the Service to you.

9.3 Feedback

If you provide us with feedback, suggestions, or ideas, you grant us an unlimited, irrevocable license to use, implement, and commercialize such feedback without compensation.

10. Account Termination

10.1 Termination by You

You may terminate your account at any time by contacting support@badgemix.com or through your account settings. Upon termination, your badges will stop functioning immediately.

10.2 Termination by Us

We may suspend or terminate your account at any time if:

• You violate these Terms
• Your payment fails repeatedly
• You engage in fraudulent or illegal activity
• We determine that termination is necessary to protect our interests or other users

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account data after a reasonable period. Sections of these Terms that should survive termination (including payment obligations, intellectual property rights, and limitation of liability) will continue to apply.

11. Warranties and Disclaimers

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Results obtained from using the Service will be accurate or reliable
• The quality of the Service will meet your expectations
• Any errors in the Service will be corrected

12. Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless BadgeMix, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create or display using BadgeMix
• Your fraudulent or illegal activities

14. Dispute Resolution

14.1 Informal Resolution

If you have a dispute with BadgeMix, please contact us at support@badgemix.com to attempt to resolve the issue informally before pursuing legal action.

14.2 Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

14.3 Jurisdiction

Any legal action or proceeding arising from these Terms shall be brought exclusively in the federal or state courts located in the United States, and you consent to the jurisdiction of such courts.

15. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending an email notification (for significant changes)

Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service and cancel your account.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BadgeMix regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.

16.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, or failures of the internet or telecommunications infrastructure.
